These Terms of Service ("Terms") govern your use of vertexanalytical.com (the "Site") and the analytical testing services provided by Vertex Analytical Labs ("Vertex," "we," "us"). By using the Site or submitting samples, you agree to these Terms. If you do not agree, do not use the Site or our services.

Services

Vertex provides laboratory testing for food and dietary-supplement products. Specific services, methods, scope, turnaround, and pricing are defined in the applicable quote, submission form, or written agreement, which control if they conflict with information on the Site.

Sample submissions

• You are responsible for the accuracy of the information you provide, including sample identity, lot/batch numbers, and requested tests.
• You represent that you are authorized to submit the samples and that they may be lawfully shipped, handled, and tested.
• Samples may be consumed or altered during testing. Unless otherwise agreed in writing, we may dispose of remaining samples after a reasonable retention period.

Quotes, pricing, and payment

Quotes are valid for the period stated and are subject to sample receipt and evaluation. Prices, rush options, and turnaround are confirmed at quoting. Invoices are due per the terms stated on the quote or invoice.

Results and reports

We report results and certificates of analysis based on the samples as received and the methods and specifications requested. Results relate only to the items tested. Reports may not be reproduced except in full without our written approval, and may not be used to claim product endorsement by Vertex or any accreditation body.

Confidentiality

We treat your submission details and results as confidential and use them only to provide services and meet legal or accreditation obligations, except as permitted in our Privacy Policy or required by law.

Intellectual property

The Site and its content (text, graphics, logos, and software) are owned by Vertex or its licensors and are protected by law. You may not copy, modify, or distribute them without permission. "Vertex Analytical Labs" and related marks are our property; third-party marks belong to their owners.

Acceptable use

You agree not to misuse the Site, interfere with its operation, attempt unauthorized access, or use it in violation of applicable law.

Disclaimers

The Site and its content are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Testing services are governed by the warranties (if any) stated in the applicable quote or agreement.

Limitation of liability

To the fullest extent permitted by law, Vertex will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, arising from the Site or our services. Our total liability relating to any testing engagement will not exceed the amount paid for the specific services giving rise to the claim.

Indemnification

You agree to indemnify and hold Vertex harmless from claims arising out of your samples, your use of results, or your breach of these Terms.

Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The exclusive venue for disputes is the state or federal courts located in San Diego County, California.

Changes to these Terms

We may update these Terms from time to time. Changes are effective when posted, as reflected by the "Last updated" date above.
